Nexap provides an AI-powered conversational agent platform that businesses use to interact with their customers through messaging channels, primarily WhatsApp. Our AI agents can assist with tasks such as scheduling appointments, answering inquiries, processing payments, and providing customer support.

Nexap operates as a technology provider to businesses (our clients). When you interact with an AI agent powered by Nexap, the business that deployed the agent is the service provider to you. Nexap provides the underlying AI technology and infrastructure.

By sending a message to a Nexap-powered AI agent and accepting the data consent prompt, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the service.

You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use our services. If you are using the service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

When using our services, you agree to:

• Provide accurate and truthful information when requested by the AI agent
• Not use the service for any illegal, fraudulent, or unauthorized purpose
• Not attempt to interfere with, disrupt, or exploit the AI agent's functionality (including prompt injection, system manipulation, or automated abuse)
• Not impersonate another person or entity when interacting with the AI agent

Our AI agents are designed to assist and provide information, but they have important limitations that you should be aware of:

• AI responses are informational in nature and do not constitute medical, legal, financial, or other professional advice. Always consult a qualified professional for such matters.
• The business that deploys the AI agent is responsible for the accuracy of its own data, including pricing, availability, scheduling, and service descriptions. Nexap is not responsible for errors in business-provided information.
• AI agents may occasionally produce incorrect or incomplete responses. Users should verify critical information directly with the business.

Nexap does not guarantee uninterrupted service availability. We may experience downtime for maintenance, updates, or unforeseen technical issues.

Payments initiated through Nexap-powered AI agents are processed via Nexap Pay (pay.nexap.ai), which utilizes third-party payment gateways. Nexap facilitates the payment process but is not the merchant of record for transactions between you and the business.

Refund and cancellation policies are determined by each individual business. Any disputes regarding charges, refunds, or service delivery should be directed to the business you transacted with. Nexap will provide reasonable assistance in resolving payment disputes when requested.

By initiating a payment through the AI agent, you authorize the processing of your transaction through our third-party payment providers, subject to their respective terms and conditions.

The Nexap platform, including its AI technology, software, brand, logos, designs, and all associated intellectual property, are owned by Nexap LLC and are protected by applicable copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, reverse engineer, or create derivative works based on any part of the Nexap platform or its AI technology without our prior written consent.

To the maximum extent permitted by applicable law, Nexap LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of our services.

Nexap's total aggregate liability for all claims arising out of or related to these Terms or the use of our services shall not exceed the amount you paid to Nexap (if any) in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or willful misconduct.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco County, California.

For users located in Colombia, the additional protections established by Ley 1581 de 2012 (Ley de Protección de Datos Personales) and related regulations apply to the processing of your personal data. In the event of a conflict between these Terms and mandatory Colombian data protection law, the Colombian law shall prevail with respect to data protection matters.
